Franchise Terms & Conditions
Root2Rank welcomes selected individuals, proprietorships, partnerships, LLPs and companies to operate authorised Root2Rank learning centres under our franchise model.
Our franchise programme is designed to provide partners with access to the Root2Rank brand, academic programmes, curriculum, teaching methodology, training and operational support, subject to the terms and conditions of the Franchise Agreement.
1. Franchise Appointment
Selected franchise partners may be authorised to establish and operate a Root2Rank learning centre within an approved territory.
Franchise appointment is subject to:
- Successful application
- Verification of franchisee credentials
- Approval of the proposed centre location
- Execution of the Franchise Agreement
- Payment of applicable franchise fees
- Completion of required training
- Compliance with Root2Rank academic and operational standards
Root2Rank reserves the right to approve or reject franchise applications based on its internal selection criteria.
2. Franchise Programmes
Depending on the approved franchise package, a Root2Rank centre may offer:
- Academic tuition programmes
- Mathematics learning programmes
- Vedic Maths
- Speed Maths
- Olympiad preparation
- Competitive-examination preparation
- School curriculum programmes
- Root2Rank study programmes
- Assessments and mock tests
- Educational workshops
- Other programmes authorised by Root2Rank
The programmes available at each centre will be determined by Root2Rank and the applicable franchise package.
3. Independent Business Relationship
The franchisee operates the centre as an independent business operator.
The franchise relationship does not create:
- An employer-employee relationship
- A partnership
- A joint venture
- An agency relationship
The franchisee may not represent itself as the owner, director, employee or legal representative of Root2Rank unless expressly authorised in writing.
4. Franchise Term
The initial franchise term will be specified in the Franchise Agreement.
Renewal is not automatic and may be considered based on:
- Franchisee performance
- Compliance with Root2Rank standards
- Timely payment of applicable fees
- Absence of material contractual defaults
- Continued availability of the Root2Rank franchise programme
Renewal terms and applicable renewal fees will be communicated separately.
5. Franchise Fee
The franchisee is required to pay the applicable franchise fee for the selected franchise package.
Depending on the package, the franchise fee may include:
- Brand licence
- Initial training
- Curriculum access
- Centre setup guidance
- Marketing resources
- Technology/platform access
- Operational support
- Training resources
The exact inclusions, fees and payment schedule will be specified in the applicable Commercial Schedule.
6. Royalty / Revenue Sharing
Depending on the selected franchise model, Root2Rank may operate one of the following commercial structures:
- Fixed monthly royalty
- Percentage-based royalty
- Revenue-sharing arrangement
- Other mutually agreed commercial structure
The applicable model and percentage/amount will be clearly stated in the Franchise Agreement.
Franchisees are required to maintain accurate student enrolment, fee and revenue records.
7. Security Deposit
Where applicable, a refundable security deposit may be collected from the franchisee.
The security deposit may be used, subject to the Franchise Agreement and applicable law, towards outstanding contractual amounts, unreturned Root2Rank property, damage to authorised materials or other contractual liabilities.
Any eligible balance will be settled according to the agreed exit and settlement process.
8. Franchise Territory
Each franchise centre will operate within an approved territory.
The territory may be defined by:
- City
- Locality
- Pin code
- Radius
- Population coverage
- Student capacity
- Other agreed geographic criteria
Territorial exclusivity will apply only where it is expressly granted in writing.
Unless expressly agreed otherwise, franchisees should not assume that their territory is exclusive.
Root2Rank may continue to operate online programmes, school partnerships, corporate programmes, digital programmes or other authorised activities subject to the agreed territorial rights.
9. Centre Location & Infrastructure
All franchise centre locations must receive Root2Rank approval before operations begin.
The centre should meet applicable requirements relating to:
- Accessibility
- Safety
- Classroom space
- Student capacity
- Lighting
- Ventilation
- Cleanliness
- Infrastructure
- Local permissions
- Applicable safety requirements
The franchisee is generally responsible for rent, utilities, maintenance, staffing and other local operating expenses unless otherwise agreed.
10. Centre Setup & Branding
The franchise centre must follow Root2Rank's approved brand and centre standards.
These may include:
- Signage
- Logo and branding
- Classroom layout
- Furniture
- Student seating
- Teaching equipment
- Reception area
- Digital teaching equipment
- Safety arrangements
- Promotional materials
The Root2Rank logo, colours, tagline and other brand elements may not be modified without prior written approval.
11. Brand & Trademark Usage
Root2Rank grants an authorised franchisee a limited right to use approved Root2Rank branding solely for operating the approved franchise centre during the franchise term.
Franchisees must:
- Use only approved logos
- Follow Root2Rank brand guidelines
- Use approved signage
- Use approved marketing materials
- Protect Root2Rank's brand identity
- Prevent unauthorised third-party use of the brand
Franchisees may not register Root2Rank's name, logo or branding as their own trademark, company name, domain or business identity without written permission.
12. Intellectual Property
All Root2Rank intellectual property remains the property of Root2Rank or its applicable owner.
This may include:
- Root2Rank name and logo
- Curriculum
- Teaching methodology
- Worksheets
- Question banks
- Practice books
- Videos
- Presentations
- Assessments
- Test papers
- Study materials
- Digital content
- Software
- Website content
- Mobile application content
- Graphics
- Marketing materials
- Training manuals
- Centre operating manuals
The franchisee receives only the rights expressly granted under the Franchise Agreement.
13. Protection of Root2Rank Materials
Franchisees may not:
- Copy Root2Rank curriculum for another business
- Sell Root2Rank materials independently
- Upload proprietary materials to public websites
- Share paid digital content without permission
- Rebrand Root2Rank materials as their own
- Create competing courses using substantially copied Root2Rank content
- Provide Root2Rank materials to unauthorised institutions or third parties
All proprietary materials must be used only for authorised Root2Rank activities.
14. Training & Teacher Standards
Root2Rank may provide initial training to franchisees and approved teaching staff.
Training may cover:
- Teaching methodology
- Curriculum delivery
- Student management
- Parent communication
- Assessment procedures
- Technology usage
- Marketing
- Centre operations
- Brand standards
Teachers are expected to meet Root2Rank's required standards for qualifications, subject knowledge, communication, training and classroom behaviour.
Additional training may be required when new programmes, systems or academic methodologies are introduced.
15. Curriculum & Academic Standards
Root2Rank-branded programmes must follow the approved Root2Rank curriculum and teaching methodology.
Franchisees may not independently change core curriculum, assessments or teaching methodology without approval.
Root2Rank may periodically update:
- Syllabus
- Worksheets
- Course structure
- Assessments
- Teaching methodology
- Learning resources
These updates are intended to maintain consistent academic standards across the Root2Rank network.
16. Student Admissions & Records
Franchisees must follow approved student admission procedures and maintain accurate records.
Records may include:
- Student details
- Parent/guardian details
- Course
- Batch
- Fees
- Attendance
- Assessments
- Parent communication
- Refunds, where applicable
All student information must be handled responsibly and in accordance with applicable privacy and data-protection requirements.
17. Student Fee Policy
Where Root2Rank prescribes standard pricing, franchisees are expected to follow the approved pricing structure.
Discounts, special offers or promotional pricing requiring approval must be approved in advance.
All student payments must be properly recorded and appropriate receipts/invoices issued.
18. No Guaranteed Results
Root2Rank and its franchisees must not make misleading or unsupported claims.
The franchisee must not promise:
- Guaranteed ranks
- Guaranteed marks
- Guaranteed examination selection
- Guaranteed scholarships
- Guaranteed admissions
- Guaranteed employment
- Guaranteed business results
Academic outcomes depend on multiple factors, including student effort, attendance, learning ability, preparation and examination conditions.
19. Marketing & Advertising
All Root2Rank marketing must be:
- Truthful
- Accurate
- Non-misleading
- Professional
- Consistent with Root2Rank branding
- Compliant with applicable laws and regulations
Franchisees must not use unsupported claims such as:
“100% Guaranteed Rank”
“Guaranteed IIT Selection”
“Guaranteed Government Job”
“Guaranteed Marks”
or similar claims.
20. Digital Marketing
Approval may be required before creating Root2Rank-branded:
- Social media pages
- Websites
- Domains
- Paid advertisements
- Promotional videos
- Other digital marketing assets
All digital marketing must follow Root2Rank's brand and communication standards.
21. Student Data & Privacy
Franchisees must protect student and parent information.
Franchisees are responsible for:
- Restricting access to authorised personnel
- Protecting student information
- Avoiding unnecessary disclosure
- Following applicable privacy/data-protection requirements
- Reporting suspected data breaches promptly
Additional care must be taken when handling information relating to minors.
22. Child Safety
Student safety is a fundamental responsibility of every Root2Rank centre.
Franchisees should maintain:
- Safe classrooms
- Appropriate staff behaviour
- Appropriate supervision
- Parent/guardian communication
- Emergency procedures
- Student complaint mechanisms
Serious incidents involving students must be reported to Root2Rank promptly.
23. Quality Control
Root2Rank may periodically evaluate franchise centres to maintain consistent academic and operational standards.
Quality reviews may include:
- Classroom observation
- Student feedback
- Parent feedback
- Teacher assessment
- Academic performance review
- Centre inspection
- Branding inspection
- Record verification
Franchisees are expected to cooperate with reasonable quality-control procedures.
24. Financial Records & Audit
Franchisees must maintain accurate financial and operational records.
These may include:
- Student enrolments
- Fee collections
- Revenue
- Expenses
- Refunds
- Royalty calculations
- Tax records
Root2Rank may request reasonable information or conduct audits to verify contractual compliance and royalty/revenue-sharing calculations.
25. Confidentiality
Franchisees must protect confidential Root2Rank information.
Confidential information may include:
- Curriculum
- Training materials
- Question banks
- Business plans
- Pricing strategy
- Franchise manuals
- Internal processes
- Technology
- Student databases
- Marketing strategy
- Financial information
Confidential information must not be disclosed to competitors or unauthorised persons.
26. Statutory Compliance
The franchisee is independently responsible for complying with applicable laws and regulations relating to its business, including where applicable:
- GST
- Income tax
- Local business registrations
- Labour requirements
- Municipal permissions
- Building requirements
- Safety requirements
- Other applicable statutory obligations
The franchise relationship does not transfer these independent obligations to Root2Rank.
27. No Sub-Franchising
A franchisee may not, without prior written approval from Root2Rank:
- Sell the franchise
- Transfer the franchise
- Sub-franchise the centre
- Appoint another franchisee
- Licence the Root2Rank brand to another party
28. Transfer of Franchise
Any proposed transfer of ownership or control of the franchise business requires prior written approval.
Root2Rank may require:
- Background verification
- Financial verification
- New franchise documentation
- Training
- Transfer fees
- Other reasonable requirements
29. Default
A franchisee may be considered in default for matters including:
- Non-payment of agreed fees
- Misuse of Root2Rank intellectual property
- Fraudulent or misleading claims
- Misrepresentation of Root2Rank
- Copying proprietary materials
- Repeated quality violations
- Serious misconduct
- Unauthorised operations
- Materially false information
- Conduct that materially damages the Root2Rank brand
30. Correction of Breaches
For non-serious breaches, Root2Rank may provide written notice requiring the franchisee to correct the breach within the period specified in the Franchise Agreement.
Serious matters involving fraud, major intellectual-property infringement, student safety or unlawful conduct may result in immediate action where legally permissible.
31. Termination
The Franchise Agreement may be terminated in accordance with its terms, including for:
- Mutual written agreement
- Expiry of the franchise term
- Material breach
- Non-payment
- Serious misconduct
- Unauthorised use of intellectual property
- Insolvency or cessation of business, subject to applicable law
- Repeated failure to maintain required standards
32. After Termination
Following termination, the franchisee must:
- Stop representing itself as a Root2Rank franchisee
- Stop using Root2Rank trademarks
- Remove Root2Rank signage
- Stop using Root2Rank curriculum and proprietary materials
- Stop distributing Root2Rank content
- Return or delete confidential materials as required
- Settle outstanding contractual amounts
- Remove unauthorised Root2Rank branding from physical and digital assets
33. Student Transition
Where a franchise centre closes or its franchise agreement ends, Root2Rank may establish reasonable arrangements to support continuity of students.
Depending on the circumstances, students may be transitioned to:
- Another Root2Rank centre
- Online classes
- Another authorised Root2Rank learning partner
Specific financial arrangements will depend on the circumstances and applicable terms.
34. No Guarantee of Business Success
Root2Rank does not guarantee:
- Minimum student enrolment
- Minimum revenue
- Minimum profit
- Recovery of franchise investment
- Return on investment
- Business success
Any financial projections or estimates provided to prospective franchisees are indicative unless expressly guaranteed in a legally enforceable written agreement.
35. Indemnification
To the extent permitted by applicable law, the franchisee may be responsible for claims, losses, penalties, damages and expenses arising from its negligence, misconduct, unauthorised representations, local legal violations, employment disputes, unauthorised use of Root2Rank intellectual property, data/privacy violations caused by the franchisee or breach of the Franchise Agreement.
36. Force Majeure
Neither party shall be responsible for failure caused by circumstances beyond reasonable control, including:
- Natural disasters
- Government restrictions
- Epidemics or pandemics
- War
- Civil unrest
- Major infrastructure failures
- Power failures
- Internet disruptions
- Other extraordinary events
37. Dispute Resolution
The parties will first attempt to resolve disputes through good-faith discussions.
Where a dispute cannot be resolved, the parties may proceed to mediation and/or arbitration as specified in the Franchise Agreement.
The final agreement will specify the applicable:
- Arbitration seat
- Arbitration language
- Number of arbitrators
- Appointment procedure
- Governing law
- Court jurisdiction
38. Governing Law
The Franchise Agreement shall be governed by the laws of India.
The applicable jurisdiction will be specified in the final Franchise Agreement.
39. Amendments
Any amendment to the Franchise Agreement must be made in writing and accepted by both parties.
Root2Rank may periodically update operational manuals, brand guidelines and applicable operating standards, subject to the terms of the Franchise Agreement.
40. Acceptance
By proceeding with the Root2Rank franchise application and entering into the Franchise Agreement, the franchisee acknowledges that it:
- Has read and understood the applicable terms
- Has received the applicable commercial information
- Has had an opportunity to seek independent legal advice
- Understands that business performance is not guaranteed
- Agrees to follow Root2Rank academic, operational and brand standards
